By accessing fbdbot.com or purchasing a subscription, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you and FBD Bot ("Company," "we," "us").
2. Description of Service
FBD Bot is a software subscription service that provides an automated trading tool ("Bot") for ES and MES futures contracts on the CME. The Bot implements a mechanical interpretation of the Failed Breakdown methodology and uses AI evaluation to assess trade setups. The Service includes access to the hosted dashboard, the downloadable client software, and associated API access.
The Service is a software tool only. It does not provide investment advice, financial planning, or trade recommendations. All trading decisions and execution are ultimately your responsibility.
3. Eligibility
You must be at least 18 years old and legally permitted to trade futures in your jurisdiction. You are responsible for ensuring that use of the Service complies with all applicable laws and regulations in your location. Futures trading may not be available in all jurisdictions.
4. Subscription and Payment
Access to the Service requires an active monthly subscription billed through FastSpring, our merchant of record. Subscriptions renew automatically each month until canceled. You authorize us to charge your payment method on a recurring basis. All prices are in USD.
You may cancel your subscription at any time through the FastSpring billing portal accessible from your account page. Cancellation takes effect at the end of the current billing period; you retain access until that date.
5. Refunds
Please refer to our Refund Policy for information on refunds. All subscription fees are generally non-refundable except as required by applicable law or as stated in our Refund Policy.
6. License Grant
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Software for your personal trading activities. See the Software License Agreement (EULA) for full terms governing the software.
7. Prohibited Uses
You may not: (a) share your API key or account credentials with others; (b) resell, sublicense, or redistribute the Software; (c) reverse engineer or decompile the Software; (d) use the Service for any unlawful purpose; (e) attempt to circumvent any access controls or security measures; (f) use the Service in a manner that could damage, disable, or impair our systems.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR PROFITABLE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL FBD BOT BE LIABLE FOR ANY TRADING LOSSES, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE THREE MONTHS PRECEDING THE CLAIM.
10. Trading Risk Acknowledgment
You acknowledge that futures trading involves substantial risk of loss. Automated trading does not eliminate risk and may result in significant financial loss. Past performance of the Bot does not guarantee future results. You accept full responsibility for all trading outcomes. See our Risk Disclosure for a complete risk statement.
11. Termination
We may suspend or terminate your access for violation of these Terms, non-payment, or for any reason with reasonable notice. Upon termination, your license to use the Software terminates immediately and you must cease all use.
12. Modifications
We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or through the Service. Continued use after changes constitutes acceptance.
13. Governing Law
These Terms are governed by the laws of the United States and the state of Virginia, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Virginia.
