1. Agreement
These Terms of Service are entered into between you and FBDBot LLC, the owner and operator of FBDBot. By accessing fbdbot.com or purchasing a subscription, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you and FBDBot LLC ("Company," "we," "us").
2. Description of Service
FBDBot LLC operates fbdbot.com and provides subscription-based futures-trading software and related digital services (collectively, the “Service”). Depending on the products purchased, the Service may include market-level analysis and research tools, failed-breakdown methodology software, automation and deployment tools, strategy-independent execution and trade-management software, local applications and NinjaTrader components, hosted dashboards, Customer Hub features, APIs, signal-source integrations, documentation, downloads, and updates. Individual products may have different functions, technical requirements, and supported markets as described in their current product information.
The Service is a software tool only, not a brokerage, custodian, investment adviser, trading adviser, or a source of individualized financial recommendations. You select your strategy, trading accounts, configurations, and risk decisions. Orders and positions are subject to your connected trading platform and brokerage execution records; the Service does not guarantee execution, trade protection, or trading results.
3. Eligibility
You must be at least 18 years old and legally permitted to trade futures in your jurisdiction. You are responsible for ensuring that use of the Service complies with all applicable laws and regulations in your location. Futures trading may not be available in all jurisdictions.
4. Subscription and Payment
Paid products are offered under the billing interval and price shown at checkout, which may include monthly or annual subscriptions. Additional licensed trading-account capacity or other add-ons, where offered, may carry separate recurring charges. Payments are processed by Stripe; subscriptions renew for the selected interval until canceled, subject to the terms presented at purchase. Prices are shown in USD unless stated otherwise. FBDBot does not store full card details provided to Stripe.
Where supported, you may manage or cancel your subscription through the billing tools available in Customer Hub or the linked Stripe billing portal. Unless stated otherwise at purchase or required by law, a cancellation ends future renewals and access continues through the then-current paid billing period.
Following a confirmed purchase, a new customer may be invited by email to establish a Customer Hub password. A pre-existing account may be associated with additional purchases instead of creating a separate identity.
5. Refunds
Please refer to our Refund Policy for information on refunds. All subscription fees are generally non-refundable except as required by applicable law or as stated in our Refund Policy.
6. License Grant
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Software for your personal trading activities. See the Software License Agreement (EULA) for full terms governing the software.
7. Prohibited Uses
You may not: (a) share your API key or account credentials with others; (b) resell, sublicense, or redistribute the Software; (c) reverse engineer or decompile the Software; (d) use the Service for any unlawful purpose; (e) attempt to circumvent any access controls or security measures; (f) use the Service in a manner that could damage, disable, or impair our systems.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR PROFITABLE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL FBDBOT LLC BE LIABLE FOR ANY TRADING LOSSES, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE THREE MONTHS PRECEDING THE CLAIM.
10. Trading Risk Acknowledgment
You acknowledge that futures trading, including manual trading, rule-based automation, indicator signals, external signal-source actions, and automated position management, involves substantial risk of loss. Trade settings, protective orders, and risk limits cannot eliminate that risk. Past performance of any strategy or product does not guarantee future results. You accept responsibility for trading decisions and outcomes. See the Risk Disclosure.
11. Termination
We may suspend or terminate your access for violation of these Terms, non-payment, or for any reason with reasonable notice. Upon termination, your license to use the Software terminates immediately and you must cease all use.
12. Modifications
We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or through the Service. Continued use after changes constitutes acceptance.
13. Governing Law
These Terms are governed by the laws of the United States and the state of Virginia, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Virginia.
