Software License Agreement (EULA)

1. License Grant

For purposes of this Agreement, "Software" means the FBD Bot client software (including fbd_client.py and associated files), the FBDPriceFeed NinjaScript indicator, the hosted FBD Bot server, dashboard, APIs, and related updates. "Materials" means the Software's screen displays, user-interface elements, visual layouts, proprietary outputs, documentation, demonstrations, videos, screenshots, branding assets, and other materials made available by FBDBot in connection with the Software.

Subject to your compliance with this Agreement and maintenance of an active FBDBot subscription, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to: (a) download and run one instance of the FBD Bot client software on a single computer you own or control; (b) install the FBDPriceFeed NinjaScript indicator in your NinjaTrader installation; and (c) access the hosted FBD Bot server and dashboard via fbdbot.com using your account credentials.

2. Restrictions

You may not:

  • Copy, distribute, sell, or sublicense the Software or Materials to any third party
  • Share your API key, login credentials, or access with any other person
  • Modify, adapt, translate, or create derivative works of the Software or Materials
  • Reverse engineer, decompile, disassemble, or attempt to derive source code, non-public functionality, or implementation details from the Software, except to the limited extent that applicable law expressly permits despite this restriction
  • Remove or alter any proprietary notices or labels on the Software or Materials
  • Use the Software on behalf of or for the benefit of any third party
  • Run the Software in any automated or batch environment for purposes other than your own personal trading
  • Capture, record, scrape, benchmark, analyze, adapt, simulate, recreate, or otherwise use the Software or Materials to develop, assist in developing, train, prompt, or generate any product, service, software, indicator, dashboard, bot, strategy, feature, or visual interface that reproduces or is substantially similar to any protected or non-public element of FBDBot, whether manually or through artificial intelligence, code-generation, scraping, automation, or any other method

3. Ownership

The Software, Materials, and all intellectual property rights in and to them are and remain the exclusive property of FBDBot LLC and its licensors. This Agreement does not convey any ownership rights. You acquire only the limited right to use the Software and Materials as expressly specified herein.

4. Updates

The Software may auto-update when you launch the client. Updates are subject to this Agreement. We reserve the right to modify the Software at any time, including changes that may affect functionality. We will endeavor to communicate significant changes via the dashboard or email.

5. Termination

This license is effective until terminated. It terminates automatically upon cancellation or termination of your subscription, or if you breach any term of this Agreement. Upon termination, you must cease all use of the Software and Materials and delete all copies in your possession or control.

6. Equitable Relief

You acknowledge that unauthorized use, disclosure, replication, or competitive reconstruction of the Software or Materials may cause irreparable harm to FBDBot LLC for which monetary damages may be inadequate. FBDBot LLC may seek temporary, preliminary, and permanent injunctive or other equitable relief, in addition to any other remedies available at law or in equity.

7. Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.

8. Limitation of Liability

IN NO EVENT SHALL FBDBOT LLC BE LIABLE FOR ANY TRADING LOSSES OR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM USE OF THE SOFTWARE. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THREE MONTHS OF SUBSCRIPTION FEES PAID BY YOU.

9. Governing Law

This Agreement is governed by the laws of the United States and the state of Virginia. Any disputes shall be resolved exclusively in the courts of Virginia.

10. Entire Agreement

This Agreement, together with the Terms of Service and all other policies incorporated by reference, constitutes the entire agreement between you and FBDBot LLC regarding the Software and supersedes all prior agreements.
