1. License Grant
For purposes of this Agreement, “Software” means the desktop, web, and locally integrated applications and components made available by FBDBot LLC, including where applicable the FBDBot desktop application (currently distributed as FBDBot.exe), Operator client and related local components, NinjaTrader AddOns and indicators, hosted services, dashboards, APIs, configuration tools, integrations, and updates. “Materials” includes the Software’s displays, interface elements, visual layouts, proprietary outputs, documentation, examples, videos, screenshots, and branding assets made available in connection with the Software.
Subject to this Agreement and your active and applicable subscription or entitlement, FBDBot LLC grants you a limited, personal, non-exclusive, non-transferable, revocable license to install and use the Software and access related digital services solely for the trading accounts and features covered by your purchased license. Any product-specific activation, device, account-capacity, or integration limits shown in the applicable subscription terms or documentation also apply. Additional trading-account slots must be separately licensed where required. This license does not transfer ownership of the Software or Materials.
2. Restrictions
You may not:
- Copy, distribute, sell, or sublicense the Software or Materials to any third party
- Share your API key, login credentials, or access with any other person
- Modify, adapt, translate, or create derivative works of the Software or Materials
- Reverse engineer, decompile, disassemble, or attempt to derive source code, non-public functionality, or implementation details from the Software, except to the limited extent that applicable law expressly permits despite this restriction
- Remove or alter any proprietary notices or labels on the Software or Materials
- Use the Software on behalf of or for the benefit of any third party
- Run the Software in any automated or batch environment for purposes other than your own personal trading
- Capture, record, scrape, benchmark, analyze, adapt, simulate, recreate, or otherwise use the Software or Materials to develop, assist in developing, train, prompt, or generate any product, service, software, indicator, dashboard, bot, strategy, feature, or visual interface that reproduces or is substantially similar to any protected or non-public element of FBDBot, whether manually or through artificial intelligence, code-generation, scraping, automation, or any other method
3. Ownership
The Software, Materials, and all intellectual property rights in and to them are and remain the exclusive property of FBDBot LLC and its licensors. This Agreement does not convey any ownership rights. You acquire only the limited right to use the Software and Materials as expressly specified herein.
4. Updates
Some Software components may be updated automatically or through new downloads, installers, or hosted releases. Updates remain subject to this Agreement. We may modify features and technical requirements and will endeavor to communicate significant changes through appropriate product channels.
5. Termination
This license is effective until terminated. It terminates automatically upon cancellation or termination of your subscription, or if you breach any term of this Agreement. Upon termination, you must cease all use of the Software and Materials and delete all copies in your possession or control.
6. Equitable Relief
You acknowledge that unauthorized use, disclosure, replication, or competitive reconstruction of the Software or Materials may cause irreparable harm to FBDBot LLC for which monetary damages may be inadequate. FBDBot LLC may seek temporary, preliminary, and permanent injunctive or other equitable relief, in addition to any other remedies available at law or in equity.
7. Disclaimer
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.
8. Limitation of Liability
IN NO EVENT SHALL FBDBOT LLC BE LIABLE FOR ANY TRADING LOSSES OR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM USE OF THE SOFTWARE. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THREE MONTHS OF SUBSCRIPTION FEES PAID BY YOU.
9. Governing Law
This Agreement is governed by the laws of the United States and the state of Virginia. Any disputes shall be resolved exclusively in the courts of Virginia.
10. Entire Agreement
This Agreement, together with the Terms of Service and all other policies incorporated by reference, constitutes the entire agreement between you and FBDBot LLC regarding the Software and supersedes all prior agreements.
