Software License Agreement (EULA)

1. License Grant

Subject to your compliance with this Agreement and maintenance of an active FBD Bot subscription, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to: (a) download and run one instance of the FBD Bot client software (fbd_client.py and associated files) on a single computer you own or control; (b) install the FBDPriceFeed NinjaScript indicator in your NinjaTrader installation; (c) access the hosted FBD Bot server and dashboard via fbdbot.com using your account credentials.

2. Restrictions

You may not:

Copy, distribute, sell, or sublicense the Software to any third party
Share your API key, login credentials, or access with any other person
Modify, adapt, translate, or create derivative works of the Software
Reverse engineer, decompile, disassemble, or attempt to derive source code from the Software
Remove or alter any proprietary notices or labels on the Software
Use the Software on behalf of or for the benefit of any third party
Run the Software in any automated or batch environment for purposes other than your own personal trading

3. Ownership

The Software and all intellectual property rights therein are and remain the exclusive property of FBD Bot and its licensors. This Agreement does not convey any ownership rights. You acquire only the limited right to use the Software as specified herein.

4. Updates

The Software may auto-update when you launch the client. Updates are subject to this Agreement. We reserve the right to modify the Software at any time, including changes that may affect functionality. We will endeavor to communicate significant changes via the dashboard or email.

5. Termination

This license is effective until terminated. It terminates automatically upon cancellation or termination of your subscription, or if you breach any term of this Agreement. Upon termination, you must cease all use of the Software and delete all copies.

6. Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.

7. Limitation of Liability

IN NO EVENT SHALL FBD BOT BE LIABLE FOR ANY TRADING LOSSES OR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM USE OF THE SOFTWARE. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THREE MONTHS OF SUBSCRIPTION FEES PAID BY YOU.

8. Governing Law

This Agreement is governed by the laws of the United States and the state of Virginia. Any disputes shall be resolved exclusively in the courts of Virginia.

9. Entire Agreement

This Agreement, together with the Terms of Service and all other policies incorporated by reference, constitutes the entire agreement between you and FBD Bot regarding the Software and supersedes all prior agreements.
